1. Acceptance of Terms

By accessing or using Lace ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including store owners, managers, employees, and consignors.

2. Description of Service

Lace provides a software-as-a-service platform for sneaker retailers to:

• Manage inventory across multiple locations
• Run consignment programs with automated payouts
• Sync products and orders with Shopify stores
• Process ACH payments to consignors
• Access market pricing data from third-party sources

The Service is provided on a subscription basis with various pricing tiers as described on our Pricing page.

3. Account Registration

To use the Service, you must:

• Be at least 18 years old
• Provide accurate, complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

You may not use another person's account without permission. We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

4. Subscription & Payment

Billing: Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan.

Payment Processing: Payments are processed through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.

Price Changes: We may change subscription prices with 30 days notice. Price changes will take effect at the start of the next billing cycle.

Refunds: Subscription fees are non-refundable except as required by law. You may cancel your subscription at any time, but no refunds will be provided for partial billing periods.

Failed Payments: If payment fails, we may suspend access to the Service until payment is resolved.

5. Consignment & Payout Services

Payout Processing: Payouts to consignors are processed via ACH transfer. Processing times are typically 2-3 business days.

Store Responsibility: Store owners are solely responsible for: • Maintaining available funding for consignor payouts
• Ensuring accurate payout amounts and consignor information
• Compliance with all applicable laws

Fee Structure: Consignment fee rates are configurable by store owners. Lace does not take a cut of consignment fees—only subscription fees apply.

6. Third-Party Integrations

The Service integrates with third-party platforms including:

Shopify: For e-commerce product and order synchronization
Stripe: For subscription payment processing
Moov: For ACH bank account verification and payout processing

By using these integrations, you agree to comply with their respective terms of service. Lace is not responsible for the availability, accuracy, or reliability of third-party services.

7. Data & Intellectual Property

Your Data: You retain ownership of all data you upload to the Service. By using the Service, you grant us a license to use your data solely to provide and improve the Service.

Our IP: The Service, including its original content, features, and functionality, is owned by Lace and protected by copyright, trademark, and other intellectual property laws.

Feedback: Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation to you.

8. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful content
• Scrape, harvest, or collect data from the Service without permission
• Use the Service to send spam or unsolicited communications
• Impersonate any person or entity
• Violate the intellectual property rights of others

Violation of these terms may result in immediate termination of your account.

9. Service Availability & Modifications

Availability: We strive for 99.9% uptime but do not guarantee uninterrupted access. The Service may be unavailable during maintenance windows or due to circumstances beyond our control.

Modifications: We reserve the right to modify or discontinue the Service (or any part) at any time with or without notice. We shall not be liable for any modification, suspension, or discontinuation.

API Changes: We may update our API and integrations. While we aim for backward compatibility, some changes may require updates to your integrations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim
• We are not responsible for any loss of data, profits, or business opportunities

Some jurisdictions do not allow limitation of liability, so some of these limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Lace, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your consignment operations and payout activities
• Any tax obligations or reporting requirements

12. Termination

By You: You may terminate your account at any time through the account settings or by contacting support.

By Us: We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion.

Effect of Termination: Upon termination:
• Your right to use the Service ceases immediately
• We may delete your account and data after 30 days
• Provisions that should survive termination will remain in effect
• You remain responsible for any outstanding fees

13. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Arbitration: Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

Exception: Either party may seek injunctive relief in court for intellectual property violations.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending email notification to account holders

Your continued use of the Service after changes constitutes acceptance of the new Terms. If you disagree with changes, you must stop using the Service.
